กระทรวงการคลังขอเรียนว่า การพิจารณาให้นิติบุคคลต่างประเทศสามารถออกพันธบัตรหรือหุ้นกู้สกุลเงินบาทในประเทศไทยในแต่ละครั้ง กระทรวงการคลังได้พิจารณาถึงผลกระทบที่อาจจะเกิดขึ้นต่อตลาดการเงินและตลาดตราสารหนี้ไทยในภาพรวม อาทิ
1) ด้านเสถียรภาพของตลาดการเงินในประเทศ
2) ด้านผลกระทบต่อการออกหุ้นกู้ของภาคเอกชนไทย
3) ด้านการส่งเสริมให้นักลงทุนในประเทศมีตราสารหนี้ที่มีคุณภาพให้ลงทุน
4) ด้านการพัฒนาตลาดพันธบัตรหรือหุ้นกู้สกุลเงินบาท
ในรอบการพิจารณาอนุญาตให้นิติบุคคลต่างประเทศออกพันธบัตรหรือหุ้นกู้สกุลเงินบาทในประเทศไทย รอบที่ 3/2564 ระหว่างวันที่ 1 กันยายน 2564 – 31 พฤษภาคม 2565 กระทรวงการคลังได้อนุญาตให้นิติบุคคลต่างประเทศ จำนวน 1 ราย ได้แก่ กระทรวงการเงินแห่งสาธารณรัฐประชาธิปไตยประชาชนลาว (Ministry of Finance of the Lao People’s Democratic Republic: MOFL) ออกพันธบัตรหรือหุ้นกู้สกุลเงินบาทในประเทศไทยได้ภายในวันที่ 31 พฤษภาคม 2565 โดยมีเงื่อนไขให้ใช้เงินที่ได้รับจากการออกพันธบัตรหรือหุ้นกู้สกุลเงินบาทได้ตามที่กระทรวงการคลังกำหนด
ทั้งนี้ กระทรวงการคลังขอสงวนสิทธิ์ในการระงับการออกพันธบัตรหรือหุ้นกู้สกุลเงินบาทในประเทศไทย ในกรณีที่สถานภาพ สถานะการเงิน หรือการอื่นใดที่เกี่ยวข้องของผู้ได้รับอนุญาตมีการเปลี่ยนแปลงที่ส่งผลกระทบต่อฐานะการเงินอย่างมีนัยสำคัญ หรือเมื่อผู้ได้รับอนุญาตมีการดำเนินการไม่เป็นไปตามเงื่อนไขที่ได้รับอนุญาต
กระทรวงการคลังขอขอบคุณผู้ยื่นคำขออนุญาตทุกรายที่ให้ความสนใจในการออกพันธบัตรหรือหุ้นกู้สกุลเงินบาทในประเทศไทย สำหรับผู้มีความประสงค์จะขออนุญาตในรอบถัดไปสามารถยื่นหนังสือแสดงความจำนงได้ปีละ 3 ครั้ง ในเดือนมีนาคม กรกฎาคม และพฤศจิกายน ของทุกปี

Permission to Issue Baht-denominated Bonds or Debentures by Foreign Entity in Thailand from 1st September 2021 – 31st May 2022
Pursuant to the Ministry of Finance’s Ministerial Notification re: Permission to Issue Baht-Denominated Bonds or Debentures in Thailand and four amendments that stipulates the rules and regulations to allow foreign entities to issue Baht-denominated bonds or debentures in Thailand. The Ministry of Finance’s criteria compose of the following key issues on
1) the stability of Thailand’s financial market
2) the impact on Thai corporate bond issuance
3) the opportunity for domestic investors to invest in quality bonds
4) the development of Baht-denominated bond market
For the issuance period from the 1st September 2021 to the 31st May 2022, the Minister of Finance has permitted Ministry of Finance of the Lao People’s Democratic Republic (MOFL) to issue Baht-dominated bonds or debentures in Thailand within the 31st May 2022 upon the agreement that MOFL must use the proceeds of the bonds or debentures according to the terms and conditions specified by the Ministry of Finance.
The Ministry of Finance, thereby, reserves the right to restrain any Baht-denominated bond or debenture issuance if there appears to be significant changes in the financial status or structure of the permitted entities or the permitted entities fail to perform in accordance with the conditions stated in the approval letter.
The Ministry of Finance extends its sincere appreciation to all applicants for their interests in Baht-denominated bonds in the Thai bond market. For the next submission periods, qualified entities who are interested in issuing Baht-dominated bonds or debentures are able to submit their applications three times a year in March, July and November.
